Confidential consultation
We begin the process with a confidential consultation to understand your key operational needs, such as product type, volume, and delivery conditions. This first step ensures that any subsequent management is aligned with realistic and market-compatible parameters.
Documentation: No formal documentation is required at this stage.
Counterparty verification and analysis
We carry out an initial screening and verification process of potential counterparties based on their operational suitability, execution capacity, and credibility. Only parties that meet the established minimum verification criteria are considered for introduction.
Documentation: KYC (Know Your Customer), Company Profile, Company Registration, Certificate of Incorporation, Signatory Passport / ID, Board Resolution / Authorization Letter.
Counterparty introduction and direct negotiation
Once the parties have been verified, protection mechanisms are established for all parties, and a full formal introduction between buyer and seller is carried out to initiate direct negotiation. Communication is structured to align technical, commercial, and logistical aspects between both final parties.
Documentation: NCNDA, IMFPA, LOI, ICPO (if applicable), SCO (Soft Corporate Offer), RWA (Ready, Willing and Able).
Transaction structure and compliance
The operation is structured under recognized international trade frameworks, ensuring security, confidentiality, and compliance throughout all phases of the process.
Documentation: Draft SPA, Sales & Purchase Agreement (SPA), CP (Conditions Precedent), Full Corporate Offer (FCO), POF (Buyer), POP (Seller).
Execution, logistics, and closing
We support and supervise the development of the operation through to completion, including logistical coordination, document flow, and final settlement between buyer and seller.
